Plugin End User License Agreement

This End User License Agreement ("EULA") is a binding contract between you and Pauseplayrepeat LLC ("PausePlayRepeat," "PPR," "we," "us," or "our") governing your use of PPR-branded audio plugin software, including VST3, Audio Unit (AU), and standalone application formats, together with presets, documentation, and updates (collectively, the "Software"). By purchasing, downloading, installing, or using the Software, you accept this EULA. If you do not agree, do not install or use the Software.

This EULA applies to plugins sold directly by PausePlayRepeat (for example, PPR Soft Clip). It supplements the PausePlayRepeat Terms of Service; if this EULA and the Terms conflict regarding the Software, this EULA controls.

1. License Grant

Subject to your payment of the applicable purchase price and your compliance with this EULA, PPR grants you a personal, limited, non-exclusive, non-transferable, non-sublicensable license to install and use the Software for producing, recording, mixing, and performing music or audio content, including commercial releases you create with it.

This is a single-user license. You may install the Software on up to three (3) computers that you personally own or control, so long as the Software is used by only you. The Software is licensed, not sold; PPR retains all right, title, and interest in and to the Software.

2. Restrictions

You may not, and may not permit anyone else to:

  • Sell, resell, rent, lease, lend, share, sublicense, transfer, or redistribute the Software, your license, or your download link to any other person.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software, except to the extent such restriction is prohibited by applicable law.
  • Modify, adapt, or create derivative works of the Software, or circumvent any technical protection measure in it.
  • Use the Software to build a competing product, or extract its DSP algorithms, components, or resources for use outside the Software.
  • Make the Software available on a network, file-sharing service, or torrent where it could be used or downloaded by others.

3. Audio Output Is Yours

PPR claims no ownership of audio you create or process with the Software. Music, stems, and recordings you make using the Software are yours (or your collaborators', per your own agreements) and may be used commercially without attribution or additional fees.

4. Updates & Support

Your purchase includes access to maintenance updates for the purchased major version of the Software via your PPR account library. PPR may, but is not obligated to, provide new features, new major versions, or ongoing compatibility with future operating systems or DAWs. Support is provided on a reasonable efforts basis via support@pauseplayrepeat.com.

5. Refunds

PPR offers a 30-day money-back guarantee on plugin purchases. If you are not satisfied for any reason, email support@pauseplayrepeat.com within 30 days of purchase and we will refund the full purchase price to your original payment method. Upon refund, this license terminates and you must uninstall and delete all copies of the Software.

6. Termination

This EULA is effective until terminated. It terminates automatically if you materially breach it (including any redistribution or reverse-engineering breach) or if your purchase is refunded or charged back. Upon termination you must stop using the Software and delete all copies. Sections 2, 3, 7, and 8 survive termination.

7. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. PPR DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, OR COMPATIBLE WITH EVERY SYSTEM, DAW, SAMPLE RATE, OR PLUGIN HOST. Some jurisdictions do not allow the exclusion of implied warranties, so some of the above may not apply to you.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PPR WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES (INCLUDING LOST PROFITS, LOST DATA, OR LOST RECORDINGS) ARISING OUT OF OR RELATING TO THE SOFTWARE, AND PPR'S TOTAL AGGREGATE LIABILITY WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE.

9. General

This EULA is governed by the same law and dispute-resolution terms as the PausePlayRepeat Terms of Service. If any provision of this EULA is held unenforceable, the remaining provisions remain in effect. PPR may update this EULA for future purchases; the version in effect at the time of your purchase governs that purchase.
